Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, products, and related services offered by Flowstate Labs (“Flowstate Labs,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Certain products may be subject to additional terms that apply specifically to those products. Where such terms exist, they supplement these Terms. In the event of a conflict, the product-specific terms control with respect to that product.

1. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Services. If you are under the age of majority where you live, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Services, you represent that you meet these requirements.

2. Accounts and Registration

Some features may require you to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at hello@flowstateslabs.com if you believe your account has been compromised.

3. License and Acceptable Use

Subject to these Terms, Flowstate Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, as permitted by the functionality of the Services.

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Reverse engineer, decompile, or attempt to extract source code except where permitted by law;
• Interfere with or disrupt the integrity, security, or performance of the Services;
• Access the Services through automated means without our prior written consent, except as allowed by public APIs we provide;
• Upload, transmit, or distribute malware, spam, or other harmful or unlawful content;
• Infringe, misappropriate, or violate the rights of Flowstate Labs or any third party;
• Use the Services to develop a competing product or service in a manner that violates applicable law or these Terms.

4. User Content

You may submit, store, or transmit content through the Services (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Flowstate Labs a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your User Content solely as necessary to provide, operate, maintain, and improve the Services and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to submit User Content and that your User Content does not violate these Terms or any applicable law. We may remove or disable access to User Content that we reasonably believe violates these Terms or applicable law.

5. Intellectual Property

The Services, including all software, design, text, graphics, logos, and other materials provided by Flowstate Labs (excluding User Content), are owned by Flowstate Labs or its licensors and are protected by intellectual property laws. Except for the limited license granted in these Terms, no rights are transferred to you. You may not use Flowstate Labs trademarks, branding, or logos without our prior written permission.

6. Paid Services

If you purchase a subscription or other paid offering, you agree to pay all applicable fees and taxes. Payment processing may be handled by third-party payment processors subject to their terms. Unless otherwise stated at the time of purchase or required by law, fees are non-refundable. We may change pricing or features with reasonable notice where required.

7. Third-Party Services

The Services may integrate with or link to third-party products, services, or content that are not controlled by Flowstate Labs. We are not responsible for third-party services and do not endorse them. Your use of third-party services is at your own risk and subject to the terms and privacy policies of those third parties.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLOWSTATE LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWSTATE LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FLOWSTATE LABS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flowstate Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

11. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, pose a security or legal risk, or if we discontinue the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitation of liability, and indemnification.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Where permitted by applicable law, you and Flowstate Labs agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” at the top of this page indicates when these Terms were last revised. Material changes will be posted on this page and, where appropriate or required by law, communicated through the Services or by other reasonable means. Your continued use of the Services after an update becomes effective constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
